Sixteen64 Terms & Conditions

Welcome to Sixteen64 (“we,” “our,” “us”). These Terms & Conditions (“Terms”) govern your access to and use of our website, platform, and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, you must not use our services.
1. Scope of Services
Sixteen64 provides workflow automation, CRM tools, and related digital services (“Services”).
Access is provided on a subscription basis.
Additional usage charges may apply (e.g., SMS, email, or telephony fees).
We may update or improve our Services at any time.
2. Eligibility
By using our Services, you confirm that you:
Are at least 18 years old,
Have the authority to bind the company or organization you represent, and
Will comply with all applicable laws in your jurisdiction.
3. User Accounts
You are responsible for maintaining the confidentiality of your login credentials.
You agree not to share your account with unauthorized users.
You must notify us immediately of any unauthorized use or security breach.
4. Acceptable Use
You agree not to use our Services to:
Send spam, unlawful, abusive, or deceptive communications.
Violate privacy, intellectual property, or other rights of third parties.
Upload malicious code or attempt to disrupt the platform.
Circumvent security, access controls, or payment obligations.
We reserve the right to suspend or terminate accounts that violate these terms.
5. Payment & Billing
Subscription fees are due in advance, unless otherwise agreed in writing.
Usage-based fees (e.g., SMS, email, phone charges) are billed separately.
All fees are non-refundable except where required by law.
Late or failed payments may result in suspension of services.
6. Intellectual Property
Sixteen64 retains all rights, title, and interest in its software, platform, and branding.
Customers retain all rights to their own data and content uploaded into the system.
Nothing in these Terms transfers ownership of intellectual property.
7. Data Protection & Privacy
We process personal data in accordance with our Privacy Policy.
For customers in the UK, EU, and Canada, we act as a “Data Processor” when handling your data and you remain the “Data Controller.”
For California residents (CPRA), you have the right to know, delete, correct, and limit the use of sensitive personal information.
Customers are responsible for ensuring they have appropriate consents from their own contacts before using our Services to send communications.
8. International Use
If you access our Services from outside the UK, US, Canada, or EU, you are responsible for compliance with local laws. Data transfers will be safeguarded under Standard Contractual Clauses (SCCs) or equivalent mechanisms where required.
9. Service Availability & Disclaimers
We aim to provide reliable services but do not guarantee uninterrupted access.
Services are provided on an “as is” and “as available” basis without warranties of merchantability, fitness for purpose, or non-infringement.
We are not responsible for downtime, data loss, or third-party service interruptions.
10. Limitation of Liability
To the maximum extent permitted by law:
Sixteen64 will not be liable for indirect, incidental, or consequential damages.
Our total liability under these Terms is limited to the amount paid by you in the 12 months preceding the claim.
11. Indemnification
You agree to indemnify and hold Sixteen64 harmless from any claims, damages, or expenses arising from:
Your misuse of the Services,
Your violation of these Terms, or
Your breach of applicable laws.
12. Termination
We may suspend or terminate your access to Services if you:
Breach these Terms,
Fail to make payments, or
Engage in unlawful or abusive activity.
You may terminate your subscription at any time by providing written notice.
13. Governing Law & Jurisdiction
US customers: These Terms are governed by the laws of the State of California, unless otherwise required.
Canadian customers: Governed by the laws of Ontario and federal laws of Canada.
UK/EU customers: Governed by the laws of England and Wales.
Disputes will be resolved in the courts of the relevant jurisdiction.
14. Changes to These Terms
We may update these Terms from time to time. Updates will be posted on this page with the effective date. Continued use of the Services after changes constitutes acceptance.
